Every deposit, payment, fee and charge paid to JDM Direct is final and non-refundable, for any reason, at any stage of the transaction, to the fullest extent permitted by applicable law. By paying any amount to JDM Direct, you confirm that you have read, understood and agreed to this Policy, our Terms & Conditions and our Privacy Policy.
1. SCOPE AND INCORPORATION
This No-Refund Policy (the "Policy") applies to every purchase, order, reservation, auction bid, custom sourcing request, deposit, down payment, installment, balance payment, service fee, shipping charge, document fee and any other amount (collectively, "Payments") paid to JDM Direct ("Company," "we," "us") by any buyer, customer or payer ("Buyer," "you"), regardless of payment method (wire transfer, ACH, credit or debit card, Stripe, PayPal, Zelle, ATH Móvil, cash, cashier's check or any other method).
This Policy is incorporated by reference into, and forms part of, the JDM Direct Terms & Conditions, every invoice, quote, purchase agreement and payment request. If any document conflicts with this Policy regarding refunds, this Policy controls unless an authorized officer of JDM Direct expressly agrees otherwise in a signed writing that specifically references this Policy.
2. WHY ALL PAYMENTS ARE NON-REFUNDABLE
JDM Direct sources vehicles in Japan on your behalf. As soon as we receive your Payment, we immediately commit those funds and our resources to third parties that do not refund us, including Japanese auction houses, dealers, export agents, inland transporters, inspectors, de-registration offices, freight forwarders, ocean carriers, customs brokers and payment processors. You acknowledge that each vehicle is a unique, one-of-a-kind item sourced specifically for you, that our costs and losses begin the moment we act on your order, and that this Policy reflects a reasonable allocation of those risks to which you freely agree.
3. NO REFUND UNDER ANY CIRCUMSTANCE
Without limiting the general rule above, no refund, credit, reimbursement or price adjustment will be given for, or because of:
- Change of mind, buyer's remorse, or finding a different vehicle or a lower price elsewhere;
- Loss of employment, change in financial situation, or inability to obtain or keep financing or insurance;
- Fluctuations in the Japanese yen / U.S. dollar exchange rate before, during or after purchase;
- Shipping, port, vessel, customs, inspection, documentation or delivery delays of any length, for any reason;
- Vehicle condition, wear, rust, cosmetic or mechanical issues, mileage, modifications, or differences from photos, auction sheets, descriptions or translations (all vehicles are sold strictly "AS IS, WHERE IS" as described in the Terms & Conditions);
- Denial, delay or difficulty in obtaining title, registration, plates, emissions or safety approval in any state, territory or municipality, including Puerto Rico (DTOP/CESCO) and California (CARB/DMV);
- Changes in U.S. federal, state or Puerto Rico law, regulations, taxes, duties, tariffs or excise (arbitrios) after your order;
- Additional costs that arise after purchase (storage, demurrage, port fees, duties, repairs, transport);
- Damage, loss or theft in transit — such matters are handled exclusively through any applicable carrier or marine-insurance claim, not through a refund from JDM Direct;
- Your failure to respond, provide documents, pay balances, or take delivery on time;
- Force majeure events, including natural disasters, hurricanes, pandemics, strikes, war, embargoes or government action;
- Any statement, estimate, timeline or opinion that was not expressly guaranteed in a signed writing by an authorized officer of JDM Direct.
4. DEPOSITS AND AUCTION BIDS
4.1 Deposits Are Non-Refundable
All deposits are non-refundable from the moment they are received. A deposit compensates JDM Direct for reserving a vehicle, holding it off the market, research, communication, bidding access and administrative work, whether or not a purchase is completed.
4.2 Unsuccessful Auction Bids — Credit, Not Cash
If JDM Direct places a bid on your behalf and is outbid, your deposit is not refunded. It remains on account as a non-transferable credit applied toward your next bid or vehicle purchase with JDM Direct. Credits have no cash value, are not redeemable for cash, and expire twelve (12) months after the date of the original Payment unless extended by JDM Direct in writing.
4.3 Winning Bids Are Binding
A successful bid is a binding purchase that cannot be cancelled. If you fail to pay the balance on time, all Payments are forfeited and you remain liable for all resulting losses, re-auction shortfalls, penalties, storage and fees as set out in Section 9 of the Terms & Conditions.
5. NO CANCELLATION OR COOLING-OFF PERIOD
Orders cannot be cancelled once any Payment is made. To the fullest extent permitted by law, you knowingly waive any right of cancellation, rescission, return or "cooling-off" period. Because vehicles are custom-sourced from Japan specifically for you and the transaction is not a door-to-door or home solicitation sale, statutory cooling-off rules for such sales do not apply. If you ask to cancel, JDM Direct may (at its sole option) attempt to resell the vehicle; any resale does not entitle you to a refund, and you remain responsible for any shortfall and all costs incurred.
6. CHARGEBACKS AND PAYMENT DISPUTES
6.1 Agreement Not to Dispute Valid Charges
You agree that you will not file a chargeback, payment reversal, "item not received" claim, "not as described" claim or any other dispute with your bank, card issuer, PayPal, Stripe or any payment provider for any Payment made in accordance with this Policy. You agree to first contact JDM Direct in writing at [email protected] and allow at least thirty (30) days for a good-faith resolution before taking any other action.
6.2 Consequences of a Chargeback
A chargeback or dispute filed in violation of this Policy is a material breach of contract. In that event:
- JDM Direct will contest the dispute and submit this Policy, your signed or electronic acceptance, invoices, communications, IP and device logs, auction records, purchase receipts and shipping documents as evidence;
- All work on your order may be suspended and the vehicle held until the dispute is resolved and all amounts are paid in full;
- You agree to reimburse JDM Direct for all chargeback fees, processing fees, lost funds, collection costs, and reasonable attorneys' fees and costs incurred;
- Unpaid amounts may be referred to collections and pursued through the dispute-resolution process in the Terms & Conditions;
- JDM Direct may refuse any future business with you.
7. ELECTRONIC ACCEPTANCE AND RECORDS
You agree that checking an acceptance box, clicking a payment button, signing electronically, replying to an invoice, or making any Payment constitutes your electronic signature and binding acceptance of this Policy under the U.S. Electronic Signatures in Global and National Commerce Act (E-SIGN Act), the Uniform Electronic Transactions Act and the corresponding laws of Puerto Rico. You agree that JDM Direct may keep electronic records of your acceptance (including date, time, IP address and device information) and use them as evidence in any dispute, as further described in our Privacy Policy.
8. DISCRETIONARY GOODWILL — NOT A WAIVER
JDM Direct has no obligation to issue any refund or credit. If, in a rare case, JDM Direct chooses to offer any refund, credit or accommodation, it does so solely as a voluntary one-time courtesy, at its sole discretion, net of all fees, costs and third-party charges already incurred. Any such courtesy does not create a precedent, does not modify this Policy, and does not waive any of our rights for that Buyer or any other Buyer. No employee, agent or representative may promise a refund; any such promise is void unless made in a signed writing by an authorized officer of JDM Direct.
9. APPLICABLE LAW AND SEVERABILITY
This Policy is governed by the laws of the Commonwealth of Puerto Rico and applicable U.S. federal law, and any dispute is subject to the dispute-resolution and arbitration provisions of our Terms & Conditions. This Policy applies to the fullest extent permitted by law. If any provision is found unenforceable for a particular transaction or jurisdiction, that provision will be limited only to the minimum extent required, and all remaining provisions stay in full force and effect. Nothing in this Policy limits any right that, by law, cannot be waived by contract.
10. CHANGES TO THIS POLICY
We may update this Policy at any time by posting a new version on this page. The version in effect on the date of your first Payment for a transaction governs that transaction.
